MEMBERSHIP RULES

Welcome to Grand Pacific Vacation Club! These Membership Rules set forth the terms for use and enjoyment of the Grand Pacific Vacation Club portfolio of vacation options, benefits, and services known as Grand Pacific Vacation Club (“Club”).  Please read these Membership Rules carefully.

1.             Club Lodging Subscription

Grand Pacific Vacation Club entitles Members to reserve and use a three-year membership package consisting of vacation bookings each year for a total of 7 nights per year in a one-bedroom vacation unit at a participating resort.  Participating resorts are shown in Addendum A and may be updated based on availability.  Members are also entitled to exclusive Club access to discounted travel benefits with participating vendors offering hotel lodging, cruise bookings and rental cars. 

The Club is a subscription program for use of Club Accommodations and access to other travel benefits.  The Club is not a legal entity.  Membership is not an interest in cooperative vacation ownerships, real estate, equity or otherwise.  Except as provided in these Membership rules, no other rights are conveyed. Grand Pacific Resorts reserves the right to change, add or remove resort accommodations, travel benefits, and vendors as it determines in its sole discretion.  Enrollment in the Club is limited to use for personal travel and recreation and is not to be purchased for any commercial purpose.

The Club is offered by Grand Pacific Resort Services, L.P., a California limited partnership and Grand Pacific Resorts, Inc., a California corporation (“Grand Pacific Resorts”), located at 5900 Pasteur Court, Suite 200, Carlsbad, CA.  CA Seller of Travel No. 2098792-50. 

2.             Membership Enrollment in the Club

Membership in the Club is a three-year commitment and subject to these Membership Rules and the Terms of Use as may be updated.  Individuals may enroll in the Club by completing the Membership Enrollment Agreement, payment and purchase of the Club Membership.  The Membership Fee schedule is attached as Addendum B. 

Membership is open to anyone at least 18 years of age or older.  Benefits may be used by the Member and the Member’s immediate family or residential household members. The maximum number of travelers per booking is based on the room occupancy and requires at least one (1) adult on the booking which may be the Member or an adult aged 18 or older, immediate family or residential household member.  Club Membership may only be held in the individual name(s) of the Member. Grand Pacific Resorts does not accept Membership applications in multiple names of individuals from multiple households, partnerships or trusts, or in the names of, or on behalf of, business entities.

Membership is personal to the enrolled Member. The enrolled Member may transfer, assign or gift the use of the Membership provided that the payment obligation remains the responsibility of the Member. Membership shall terminate automatically on the death of the individual Member of record.

Commercial use of Membership benefits is strictly prohibited. Member or their designated guests may not use Club Accommodations or travel benefits for commercial purposes or monetary gain or other consideration, including without limitation, rental, auction, barter, raffle or sale. Any commercial use shall be grounds for immediate termination of Club Membership.

3.             Payments

Payment(s) for Club Membership Purchase are considered acknowledgment of the Terms of Use and these Membership Rules. 

Club Membership Purchase.   Enrollment in the Club is activated upon payment in accordance with the Membership Fee schedule shown on Addendum B of these Membership Rules.  Payment for the Club Membership may be made in a single one-time payment or by making a down payment and monthly recurring payments.  All payments are non-refundable.  Payments for Club Membership must be current at the date of booking and at the start date of travel.  Delinquent accounts will be suspended until the account is current.

Electronic Payments.  Credit cards are accepted provided the Member is an authorized user of the card.  By utilizing a credit card for purchase of Club Membership, or any payments due to Grand Pacific Resorts, the Member authorizes Grand Pacific Resorts to charge the credit card (or any other payment device or method accepted by Grand Pacific Resorts) on a recurring basis on the 5th day each month in the amount specified under the Enrollment Agreement) by Grand Pacific Resort’s payment processor or its vendor (“Payment Processor”).  If the 5th day of the month should fall on a weekend or banking holiday, the charge will occur on the following business day. If there is any change to the Member’s account number, expiration date, or other information of any credit or debit card account associated with the Membership account, please contact Grand Pacific Resorts to update the payment of record as soon as possible.  The automatic payment authorization will remain in effect until the authorization is cancelled.  Cancellation of authorization for automatic payments must be received in writing at least three (3) business days prior to the date of the recurring payment.  Member must provide a replacement card and recurring payment authorization to remain in good standing.

Lodging Tax.  Club Member payments do not include any applicable local lodging taxes due at the resort at the time of the stay.  See Resort Folio Charges (section 7).

Discounted Travel Benefits.  Club Member payments do not include payments due to travel partners for purchase of discounted travel benefits offered to Club Members.

4.             Travel Dates and Reservation Requests

Members in good standing are encouraged to submit reservation requests for Club accommodations and any desired optional travel benefits.  Non-participation in all or any of the optional travel benefits offered does not constitute a breach of the Membership.

Travel Dates.  Club Members are entitled to book a total of 7 nights per year which may be booked for one 7-night stay or divided into one 3-night stay and one 4-night stay provided that the annual travel is completed during each 12-month period of the 3-year Membership.  Travel dates are based on availability, black-out dates apply as shown in Addendum D.  Travel must be completed within the 12-month period(s) starting on the Membership activation date and ending on the first anniversary date, and thereafter on the second anniversary and third anniversary date.  Annual travel not completed within the applicable 12-month period expires and does not carry-over to the following 12-month period.  Members may opt to pay a fee to recover expired and unused travel nights.

Reservation Requests.  Reservations are booked subject to availability, commencing no earlier than one year prior to the travel date. Grand Pacific Resorts makes no guaranty or assurance of availability of a resort or unit type; provided however, any elimination of a resort or unit type will not result in a “downgrade” as determined by Grand Pacific Resorts in its reasonable discretion. 

Cancellation Policy for Grand Pacific Resorts.  Cancellation of travel booking at a Grand Pacific Resort property must be made more than seven (7) days prior to the travel date to retain travel nights for the portion of the 12-month period remaining for the Membership travel year.  Cancellation seven (7) days or less prior to the travel date will result in forfeiture of the travel nights. 

Cancellation Policies for Third Party Travel Benefits.  Accommodations and benefit travel are booked subject to the independent resort or third party booking terms and cancellation policy applicable to each booking.  Members are responsible to ensure that personal compliance with the booking terms provided with each booking reservation. Grand Pacific Resorts is not responsible for failure to comply with such applicable resort policies, restrictions or requirements.

5.             Club Membership Accommodations

Club Membership entitles the Member to accommodations in a standard one-bedroom unit at a participating resort (“Club Accommodations”). Resort check-in/check-out times, property rules and policies, services and amenities (“Resort Rules”) vary by location and resort. Resort Rules apply during the stay.  Accommodations may vary in size, quality and décor. Grand Pacific Resorts does not make any representation regarding the resort compliance with the ADA requirements. The total number of people occupying the unit must not exceed the maximum occupancy of the unit-type set forth in the booking confirmation. Exceeding occupancy may result in denial of access or an additional charge may be levied by the resort. Subject to availability, Members may upgrade view or to a larger unit type, without an additional fee.  The availability of specific services or features such as room upgrades or amenities is not guaranteed and may be subject to limits on availability or price, which may vary.  Members may request downgrade to a smaller studio unit, but downgrade credits will not be issued.  Members may purchase additional nights, subject to availability.  The nightly rate for additional nights is available on-line via the Member booking engine.

In the rare event that a resort becomes uninhabitable due to a natural disaster or other event outside of anyone’s control (such as a pandemic or unexpected labor shortage), Grand Pacific Resorts will attempt to re-book or provide substitute accommodations.  In no event is Grand Pacific Resorts liable for consequential losses, travel costs or other expenses arising from cancellations outside of its control.

6.             Optional Travel Benefits

Select services and travel benefits are made available through the Club, including but not limited to cruise services and hotel accommodations.  These select services and benefit are operated, owned, managed and/or marketed by third parties outside of the control of Grand Pacific Resorts.  These benefits and services are separate and distinct from the Club, and its affiliated companies, and are subject to separate terms and conditions. Grand Pacific Resorts may suspend, alter or terminate any such third-party services and benefits at any time. Grand Pacific Resorts is not responsible, and assumes no liability, for changes or discontinuances of any third-party service or products offered or available through the Club.  Grand Pacific Resorts may share personal information about Members with such third party providers so that such third party providers may provide member services, products and benefits to Members, or to Grand Pacific Resorts and its affiliated companies.  For more information about Grand Pacific Resorts’ Privacy Policy, please select the Privacy Policy link at https://www.grandpacificresorts.com/privacy/

7.             Resort Folio Charges and Taxes

Members are solely responsible for payment of any applicable personal expenses, telephone or wireless/Wi-Fi charges, and other charges properly levied by a resort or third party for the use of amenities and facilities (“Folio Charges”). Members are solely responsible for bed tax, sales tax, transient occupancy tax or other tax imposed by and payable to the resort in connection with the use and occupancy of the Club Accommodations. Grand Pacific will publish any disclosures provided by the individual resorts and encourages any Members with questions to contact the resort in advance of their stay.

8.             Purchase Right of Rescission

Members have the right to cancel the Club Membership within seven (7) days of the initial purchase payment without giving any reason. To exercise the right to cancel and receive a refund of the initial purchase payment, the Member must notify Grand Pacific Resorts to cancel this contract by a written statement submitted by email to club@gpresorts.com or by letter mailed to Grand Pacific Resorts at 5900 Pasteur Court, Suite 200, [Attention:  Grand Pacific Vacation Club], Carlsbad, CA 92008, and post-marked within the 7-day rescission period.

No Refund of Payment.  Following use of the travel benefits for the 12-month period, no refunds will be made.  If timely right to cancel has been submitted and the travel benefits have not been used, Grand Pacific Resorts will refund the entire payment, less any fees for use of the program benefits, if applicable. Refunds will be processed with the same means of payment used in the initial transaction.  Refunds are issued in the ordinary course of business, and not later than twenty (20) days after receipt of rescission notice.

9.             Membership Suspension; Termination; Cancellation of Booking for Non-Payment

Suspension of Membership.  Club Membership shall remain in good standing provided (i) all payments, fees and applicable taxes are timely paid; (ii) Member is in compliance with these Membership Rules and the Terms of Use; (iii) Club Membership is not suspended or terminated; (iv) Member is in good standing with any third party vendor offering travel benefits to Club Members; (v) Member has not asserted any unresolved claims with Grand Pacific Resorts or any of its affiliates or vendors; and (v) Member is otherwise in good standing. Club Membership standing and any bookings for Club Accommodations or travel benefits will be suspended for any monthly payments not paid by or on the fifth (5th) of each month.  Membership may be reinstated upon payment of any past due amounts, but reservations may not be recoverable, depending on availability. 

For Cause Termination of Membership.  Grand Pacific Resorts reserves the right, in its sole discretion, to terminate and cancel, without refund or credit any booking for Club Accommodations, or travel benefits for any account that ceases to be in good standing, whether caused by expiration of the Club Membership 36-month term, delinquency in account balance, or breach of compliance with any requirements under the Membership Rules or Terms of Use. 

Voluntary Early Termination of Membership.  Member may voluntarily submit written notice of early termination of the Club Membership’s 36-month term.  Written notice must be delivered to Grand Pacific Resorts by email to club@gpresorts.com  or by letter mailed to Grand Pacific Resorts at 5900 Pasteur Court, Suite 200, [Attention:  Grand Pacific Vacation Club], Carlsbad, CA 92008. Notice of termination must be received by Grand Pacific Resorts at least five (5) business days prior to the scheduled payment date of the account of record. If a termination notice is received fewer than five (5) business days prior to the scheduled payment date, termination will become effective as of the next payment date in the month following the month in which the notice of termination is received by Grand Pacific Resorts.

Suspension or Early Termination of Membership results in cancellation of any bookings for Club Accommodations or travel benefits or use of the Benefits of Membership and access to the Website.  No refunds are permitted.

Each Club Membership automatically terminates at the third anniversary of initial enrollment. 

10.          Privacy

Upon submission of a complete Club Membership enrollment application, Grand Pacific Resorts will maintain information private and confidential at all time and agrees not to pass this information onto any other third party except as disclosed in the Grand Pacific Resorts Privacy Policy.
